1. Dispute Resolution / Arbitration Notice
YOU AGREE THAT DISPUTES BETWEEN YOU AND US CONCERNING YOUR USE OF THE SERVICES WILL BE RESOLVED PURSUANT TO THE DISPUTE RESOLUTION PROCESS OUTLINED IN SECTION 15 BELOW, WHICH MAY INCLUDE INDIVIDUAL BINDING ARBITRATION. 2. Eligibility
By accessing or using the Services, you represent that you are at least 18 years of age, or the age of majority in the jurisdiction in which you access or use the Services. Our Services are not directed to children under the age of 18.

Any recommendations, recipes, serving suggestions, or use instructions made available through the Services are general suggestions only and do not guarantee a particular result.
Damaged Shipments, Shortages, and Incorrect Products
You must inspect your order promptly upon delivery. Any claim for a damaged shipment, missing item, shortage, shipping error, or incorrect product must be reported to us within seven (7) calendar days after delivery. TO THE EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL LIABILITY OF AMERICAS BEST SEASONING FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS, THE WEBSITE, THE SERVICES, OR ANY PRODUCTS PURCHASED THROUGH THE WEBSITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00) OR THE AMOUNT YOU PAID TO US FOR THE APPLICABLE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM, WHICHEVER IS GREATER.
INDEMNIFICATION. 14. Force Majeure
We will not be liable for any delay or failure in performance resulting directly or indirectly from causes beyond our reasonable control, including natural disasters, internet outages, equipment failures, utility failures, labor disputes, shortages of materials, civil unrest, acts of war, governmental actions, court orders, transportation interruptions, public-health emergencies, acts or omissions of carriers, or the failure of third parties.
15. Dispute Resolution, Arbitration, Class Action Waiver, and Jury Waiver
Please read this section carefully. It affects your legal rights and requires that many disputes be resolved through individual arbitration rather than in court.
No Representative Actions. You and Americas Best Seasoning agree that any dispute arising out of or relating to these Terms, the Website, the Services, or our products is personal to you and us and will be resolved only on an individual basis, and not as a class action, class arbitration, consolidated action, private attorney general action, or other representative proceeding.
- Disputes. For purposes of this Section 15, "Dispute" means any dispute, claim, or controversy arising out of or relating to these Terms, the Website, the Services, or any product or service purchased from us, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory. "Dispute" does not include claims by us for trade secret misappropriation, patent infringement, copyright infringement or misuse, trademark infringement or dilution, or any claim seeking injunctive relief related to misuse of our intellectual property.
- Opt Out. You may opt out of this arbitration agreement by sending written notice to us within thirty (30) days of your first use of the Services or your first acceptance of these Terms. Before initiating arbitration, either party must send written notice of the Dispute to the other party, including the name, address, contact information of the party giving notice, the facts giving rise to the Dispute, and the relief requested. - Mediation. If the Dispute is not resolved informally, the parties may agree to attempt non-binding mediation before a neutral mediator before proceeding to arbitration.
- Binding Arbitration. If the Dispute is not resolved informally or through mediation, you and Americas Best Seasoning agree to resolve the Dispute by confidential, binding arbitration before a single arbitrator. The arbitration will be administered by the American Arbitration Association ("AAA") under its applicable rules, except to the extent those rules are modified by these Terms. The Federal Arbitration Act governs the interpretation and enforcement of this section.
- Small Claims Court. Either party may bring an individual action in small claims court if the claim qualifies and remains in that court.
- Class Action Waiver. YOU AND AMERICAS BEST SEASONING AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION OR PROCEEDING.
- Mass Action Waiver. To the fullest extent permitted by law, the parties agree that disputes will not be brought, heard, or arbitrated as part of any mass action or coordinated proceeding, except as part of a mutually agreed settlement.
- Arbitration Procedure. The arbitrator will have exclusive authority to resolve any Dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that all or part of it is void or voidable. The arbitrator may award any relief available in a court of competent jurisdiction on an individual basis only.
- Hearing Format. Unless otherwise required by applicable law or agreed by the parties, arbitration may be conducted in person, by video conference, by telephone, or based on written submissions, as determined by the arbitrator and the applicable AAA rules.
- Severability. If any provision of this Section 15 is found unenforceable, that provision will be severed and the remainder of this Section and these Terms will remain in effect, except that if the class action waiver is found unenforceable, this Section 15 shall be unenforceable to that extent.
- Exclusive Venue for Excluded Claims. Any claim that is not subject to arbitration shall be brought exclusively in the state or federal courts identified in Section 16, and each party consents to the personal jurisdiction of those courts.
16. Governing Law; Jurisdiction and Venue
These Terms, the Website, the Services, and any dispute or claim arising out of or relating to them will be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law principles.
Any dispute not subject to arbitration or not eligible for small claims court shall be resolved exclusively in the state or federal courts located in Miami County, Ohio, and you consent to the jurisdiction and venue of those courts.

Upon termination, all rights granted to you under these Terms will immediately cease, and you must discontinue all use of the Services.
Any provision of these Terms that by its nature should survive termination will survive termination, including provisions concerning intellectual property, User Content, disclaimers, limitations of liability, indemnification, dispute resolution, arbitration, class-action and jury-trial waivers, governing law, jurisdiction and venue, statute of limitations, and any other provision necessary to give effect to the parties' rights and obligations after termination.
18. Assignment
You may not assign or transfer this Agreement, by operation of law or otherwise, without our prior written consent. We may assign these Terms at any time without restriction. Subject to the foregoing, these Terms will bind and benefit the parties and their respective successors and permitted assigns.
19. Statute of Limitations
To the fullest extent permitted by law, any claim or cause of action arising out of or relating to your use of the Services, the Website, or these Terms must be filed within one (1) year after the claim or cause of action arose, or it will be permanently barred.
20. Entire Agreement; Severability; Relationship
These Terms constitute the entire agreement between you and Americas Best Seasoning regarding the Services and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral, regarding the Services.
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision under these Terms will not operate as a waiver of that right or provision.
Nothing in these Terms creates any agency, partnership, joint venture, employment, or fiduciary relationship between you and Americas Best Seasoning.
